"If you are any of the following described persons, you are required to inform this company of your status as a condition of doing business with us, and in order to comply with U.S. tax law."
1. If you are a nonresident alien to the U.S. you are required to notify this company of that status prior to engaging in any work for us or receiving any payments from us. The general definition of nonresident alien can be found at 26 USC 7701(b).
2. If you are a foreign entity (such as a trust or corporation) you are required to notify this company of that status prior to engaging in any work for us or receiving any payments from us. The general definition of nonresident alien can be found at 26 USC 7701(31)(B) and 7701(a)(5).
3. If you are a U.S. citizen or U.S. corporation and you are acting as a representative or agent of a foreign person (items 1 or 2 above) and the payment being made to you actually belongs to a foreign person, then you are required to complete and submit to this company an IRS Form W-9 prior to engaging in any work for us.
4. If you are not a person described in items 1-3 (above) then no IRS forms or a TIN is required from you.
That's pretty succinct, yes? And it gets the job done! Each person who receives pay from this company has to sign that form confirming only that they read it, nothing more. In the incredibly unlikely event that the IRS claims we made a payment to a foreign without filing an information return, we will have this document to show that we exercised due diligence in determining if you're a person who was within a class of person upon whom information reporting is required. Of course for the average American business this would simply be a complete waste of time, but for those who worry about such things, there you go.
